Important: Please read these rules before entering the on-line Promotion ("Promotion"). By clicking on the "Accept" button below, you agree to be bound by these Official Rules and represent that you satisfy all of the eligibility requirements in paragraph 1 below.

1. Eligibility.
NO PURCHASE NECESSARY TO ENTER OR WIN; PURCHASE WILL NOT INCREASE ODDS OF WINNING. PROMOTION OPEN ONLY TO RESIDENTS OF THE U.S. (EXCLUDING PUERTO RICO) OVER THE AGE OF 18 (OR AGE OF MAJORITY IN YOUR STATE OF RESIDENCE).  IF YOU ARE NOT A RESIDENT OF THESE AREAS, YOU ARE NOT ELIGIBLE TO WIN A PRIZE, AND KEEN, INC. ("SPONSOR") RESERVES THE RIGHT NOT TO AWARD PRIZES TO ENTRANTS WHO RESIDE IN OTHER JURISDICTIONS.  To be eligible to win a prize, entries must be completed and received by Sponsor in the format designated below.  Directors, officers and employees of Sponsor and any of their respective affiliate companies, subsidiaries, agents, professional advisors, advertising and promotional agencies, and immediate families of each are not eligible to win any prizes.  The Conservation Alliance, Big City Mountaineers, Leave No Trace, Surfrider Foundation, American Whitewater, Medicines Global, Healing Waters, AmeriCares, Youth Outdoors Legacy Fund, Outdoor Industry Foundation, and Friends of Forest Park (individually and collectively, "Foundation Partners"), and directors, officers, and employees of Foundation Partners, are not eligible to win a prize.  Volunteers for Foundation Partners are eligible to win a prize, provided the subject matter of any such entrant's Entry Materials (defined below) is not (in Sponsor's sole discretion) for, about, or associated with any Foundation Partner or past, current, or potential project for Sponsor.  Retail businesses which promote and/or sell Sponsor's products (individually and collectively, "Retail Partners"), and directors and officers of Retail Partners, are not eligible to win any prizes.  Non-director and non-officer employees of Retail Partners are eligible to win a prize, provided the subject matter of any such entrant's Entry Materials (defined below) is not (in Sponsor's sole discretion) for, about, or associated with any Retail Partner.  All applicable federal, state and local laws and regulations apply.  Offer void where prohibited. Limit one (1) entry per person. 

2. Disclaimer.
Sponsor, all participating sponsors and any of their respective parent companies, subsidiaries, affiliates, directors, officers, professional advisors, employees and agencies will not be responsible for: (a) any late, lost, misrouted, garbled or distorted or damaged transmissions or entries; (b) telephone, electronic, hardware, software, network, Internet, or other computer- or communications-related malfunctions or failures; (c) any Promotion disruptions, injuries, losses or damages caused by events beyond the control of Sponsor; or (d) any printing or typographical errors in any materials associated with the Promotion.

3. Promotion Period.
The Promotion period is from 12:01 a.m. (all times Pacific Standard Time) on August 1, 2007 to 11:59 p.m. on December 31, 2007 (the "Deadline").  All entries must be received by the Deadline to be eligible to win a prize.

4. Prizes.
The Promotion permits a submission in one of five categories: Film, Fine Arts, Journalism, Design, and Photography.  Prizes will be awarded as follows:

(a) Grand Prize:The grand prize winner will receive a $25,000 check.

(b) Category Winners: One winner in each of the five categories will receive a $5,000 check.

Odds of winning a prize depend on number of eligible entries received.  ALL FEDERAL, STATE AND LOCAL TAXES ASSOCIATED WITH THE RECEIPT OR USE OF ANY PRIZES ARE THE SOLE RESPONSIBILITY OF THE WINNER.

All prizes will be awarded.  Prizes returned as undeliverable or otherwise not claimed within thirty (30) days after delivery of notification will be forfeited and awarded to an alternate winner.  Prizes are not transferable.  No substitutions or exchanges (including for cash) of any prizes will be permitted, except that Sponsor reserves the right to substitute a prize of equal or greater value for any prize.  Limit one prize per household or address.  All prizes are awarded "AS IS" and WITHOUT WARRANTY OF ANY KIND, express or implied, (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose).

In the event of a dispute about the identity of the entrant, entries made online will be declared made by the authorized account holder of the e-mail address submitted at time of entry.  An authorized account holder is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider or other organization (e.g. business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.  The potential winner may be required to provide Sponsor with proof that the potential winner is the authorized account holder of the e-mail address associated with the winning entry.

5. How to Enter.
To enter, create a creative, original work ("Work") in any one (1) of the following categories devoted to the issues of sustainability, positive environmental change, and/or raising environmental awareness:

(a) Film: Video footage or still frames with transitions.
(b) Fine Arts:Print making, painting, sculpture, and illustrations.
(c) Journalism:Written article or essay of no more than 1000 words.
(d) Design:Industrial, graphic, digital, and environmental designs.
(e) Photography: Still photographs.

Submit (i) an image depicting the Work in .jpg, .gif, .png, .or tif formats (280x243 pixels) (for articles or essays, submit the Work in Microsoft Word or .PDF file formats) (file size must not exceed 3MB) and/or (ii) a video no longer than three minutes in duration depicting the Work in .avi, .mov, .wmv, .mpg, .mp4, or .flv formats (file size must not exceed 20MB) online at www.keenfootwear.com together with a brief description (i.e., not more than 200 words) of the Work, the targeted category (listed above under 5(a) through 5(e)), your full name, home telephone number, mailing address, e-mail address, and age (collectively, the "Entry Materials").  All text associated with the Entry Materials must be written in English.  Collaborative works will not be accepted.  All requested information must be provided for your entry to be valid.  By entering the Promotion, you consent to being placed on an e-mail mailing list for promotional and other purposes.  However, you may opt-out of receiving e-mails or other promotional materials from Sponsor upon receipt of the first e-mail by following the “unsubscribe” instructions contained therein.

6. Promotion Rules.
Because of the expected volume of entries, entries will be reviewed continuously beginning on or about January 1, 2008, with judging concluding on or about March 3, 2008.  On or before March 3, 2008, the winners will be selected by panels of judges comprised of Sponsor's employees and qualified independent judges.  First, panels of judges comprised of Sponsor's employees will select twenty (20) potential winning entries.  Next, a panel of independent judges will select the six (6) winning entries from these potential winning entries.  Judges will determine, in their sole discretion, the winners.  Entries will be judged on the following criteria:

  • The most apt, creative, original and interesting Entry Materials;

  • Entrant's demonstrated personal connection with sustainability, positive environmental change, and/or raising environmental awareness;

  • Entrant's actual or potential impact on sustainability, positive environmental change, and/or raising environmental awareness; and

  • Treatment of the sustainability, positive environmental change, and/or raising environmental awareness theme(s).

Judges reserve the right, in their sole and absolute discretion, to disqualify any entries and/or Entry Materials that are inappropriate for any reason, including without limitation for depicting or referencing sex, violence, or drugs/alcohol.  Judges also reserve the right, in their sole and absolute discretion, to disqualify any entries and/or Entry Materials by entrants who/which discriminate based on age, sex, race, color, sexual orientation, national or ethnic origin, disability, or religion.

Winners will be notified by phone and e-mail by March 24, 2008.  To claim a prize, winners should follow the instructions contained in their notification.

7. License for Entries.
You hereby expressly grant Sponsor and its successors, assigns, licensees, representatives, and agents, the royalty-free, perpetual, irrevocable, non-exclusive right and license to use, modify, reproduce, publish, perform, display, distribute, make derivative works of and otherwise commercially and noncommercially exploit the Entry Materials in perpetuity and throughout the universe, in any manner or medium now existing or hereafter developed.  You agree to take, at Sponsor's expense, any further action (including, without limitation, execution of affidavits and other documents) reasonably requested by Sponsor to effect, perfect or confirm Sponsor's license rights as set forth above in this paragraph 7.

8. Original Work of Authorship.
You hereby warrant and represent that (a) you own all rights to all Entry Materials submitted by you; and (b) all such Entry Materials are original works of authorship on your part and have not been copied, in whole or in part, from any other work and do not violate, misappropriate or infringe any copyright, trademark or other proprietary right of any other person or entity.

9. General Release.
By entering the Promotion, you release Sponsor, participating sponsors and any of their respective parent companies, subsidiaries, affiliates, directors, officers, employees and agencies (collectively, the "Released Parties") from any liability whatsoever, and waive any and all causes of action, related to any claims, costs, injuries, losses, or damages of any kind arising out of or in connection with the Promotion or delivery, misdelivery, acceptance, possession, use of or inability to use any prize (including, without limitation, claims, costs, injuries, losses and damages related to personal injuries, death, damage to or destruction of property, rights of publicity or privacy, defamation or portrayal in a false light, whether intentional or unintentional), whether under a theory of contract, tort (including negligence), warranty or other theory.

10. Use of Winner's Name, Likeness, etc.
Except where prohibited by law, entry into the Promotion constitutes permission to use winners' name, address, likeness and/or prize information, without limitation, for promotional purposes without further permission or compensation.  As a condition of being awarded any prize, except where prohibited by law, winners may be required to execute a consent to the use of their name, address, likeness and/or prize information, without limitation, for promotional purposes without further permission or compensation.

11. Affidavit & Release.
As a condition of being awarded any prize, winners will be required to execute and deliver to Sponsor a signed affidavit of eligibility and acceptance of these Official Rules and release of liability.

12. Winners List; Rules Request.
For a copy of the winners list, send a stamped, self-addressed, business-size envelope after April 1, 2008 and before April 1, 2009 to Sponsor at the address listed below, Attn: KEEN "Stand Up" Contest Winners List. To obtain a copy of these rules, send a stamped, self-addressed business-size envelope to Sponsor at the address listed below, Attn: KEEN "Stand Up" Contest Rules Request.  Residents of VT may omit return postage.

14. Miscellaneous.
The Promotion and these Official Rules will be governed, construed and interpreted under the laws of the state of Washington.  Entrants agree to be bound by these Official Rules and by the decisions of Sponsor, which are final and binding in all respects.  Sponsor reserves the right to change these Official Rules at any time, in its sole discretion, and to suspend or cancel the Promotion or any entrant's participation in the Promotion should viruses, bugs, unauthorized human intervention or other causes beyond Sponsor's control affect the administration, security or proper play of the Promotion or Sponsor otherwise becomes (as determined in its sole discretion) incapable of running the Promotion as planned.  Entrants who violate these Official Rules, tamper with the operation of the Promotion or engage in any conduct that is detrimental or unfair to Sponsor, the Promotion or any other entrant (in each case as determined in Sponsor's sole discretion) are subject to disqualification from entry into the Promotion.  Sponsor reserves the right to lock out persons whose eligibility is in question or who have been disqualified or are otherwise ineligible to enter the Promotion.  If you have any questions about these Official Rules or the Promotion, please e-mail them to info@keenfootwear.com or send written questions to Attn: KEEN "Stand Up" Contest, KEEN, INC., 926 NW 13th Avenue, Suite 210, Portland, OR 97209.
